Effective supervision of corporate governance

To support the effectiveness of the duties of the Board of Commissioners and ensure that the composition of the Board of Commissioners and Directors has a diverse membership and consists of individuals with the highest standards of integrity, the Company established a Nomination and Remuneration Committee. Apart from that, the Nomination and Remuneration Committee is also tasked with providing recommendations to the Board of Commissioners regarding remuneration packages for members of the Board of Directors and Board of Commissioners.

Legal Basis for Establishment

The Company's Nomination and Remuneration Committee was formed based on POJK 34/2014 concerning the Nomination and Remuneration Committee for Issuers or Public Companies. As published in the Decree of the Board of Commissioners of PT Waskita Beton Precast Tbk Number: 11/SK/WBP/DK/2023

Nomination and Remuneration Committee Charter

The Company's Nomination and Remuneration Committee has committee guidelines which were approved by the Board of Commissioners on 12 October 2023. The committee guidelines contain committee work guidelines including the duties and responsibilities of the committee as well as the implementation of committee meetings.

Fathur Rokhman

Indonesian citizen aged 56 years. Serves as Member of the Audit Committee in the Company based on Decree No. 07/SK/WBP/DK/2023 Dated 7 July 2023. Currently serving as Independent Commissioner based on the Annual General Meeting of Shareholders (Fiscal Year 2022). And currently active as Director of the Postgraduate School at Semarang State University.

Agus Budiman Manalu

He started his career in the Indonesian Police at West Sumatra Regional Police (1985-1991), PTIK (Police Science College) (1991), National Police Headquarters (1993), East Kalimantan Regional Police (1993-1997), South Sumatra Regional Police (1999-2003; 2009), Bangka Belitung Regional Police (2005), National Police Headquarters (2011), Head of South Kalimantan BNN (National Narcotics Agency) (2011-2015), and Head of South Sulawesi BNN (2015-2017).

Belladonna Troxy Maulianda

Indonesian citizen and serves as Member of the Risk Management Monitoring Committee in the Company based on Decree No. 06/SK/WBP/DK/2023 Dated July 7 2023. And currently active as Expert Staff & Advisor for Minister – Energy, Energy Transition & Strategy at the Coordinating Ministry for Maritime Affairs and Investment.
